ProMed - Terms and Conditions

I. Agreement Overview

This Terms and Conditions is effective as of Date 11-04-2011 and revised on 18-10-2023

These Terms and Conditions ("Agreement") govern the use of ProMed, a cloud-based Enterprise Resource Planning (ERP) software for Hospitals, Clinics, and Diagnostics Centers, provided by ProEmTech Infosystems Private Limited ("the Company"). By accessing or using ProMed, you agree to comply with and be bound by these terms.

This policy applies to all our applications including ProMed, oNext, DoctAssist®, LiveDoc, LabNetX, PPSDaemon, FeedUZZ, BoardUZZ, Anges, UrgenZ from the house of ProEmTech®

II. License Grant

ProEmTech Infosystems Private Limited grants the end user a non-exclusive, non-transferable license to use ProMed for managing patient health records, providing medical services, generating and storing medical reports and records, handling insurance, prescribing medications, stock and dispensing medicines, billing, overseeing day-to-day activities, managing appointments and bookings, admissions, discharge.

III. License Structure

The ProMed license is based on a yearly renewable model or yearly subscription model. The license fee is determined by factors including the number of concurrent users, enabled features, and other specifications agreed upon in the license agreement.

IV. License Renewal

The ProMed license is valid for one (1) year from the date of purchase and is renewable on an annual basis. Failure to renew the license may result in the suspension or termination of services and access to ProMed and related services.

V. User Limits

The license is subject to restrictions on the number of concurrent users and other limitations based on the agreed-upon terms. Users agree to adhere to these limitations outlined in the license agreement.

VI. Payment Terms

The end user agrees to pay the annual license renewal fee as specified in the license agreement. Payment is due before the expiration of the current license term. Failure to make timely payments may result in the suspension of services.

VII. Support and Maintenance

ProEmTech Infosystems Private Limited will provide support and maintenance services as outlined in the service level agreement (SLA). Any additional services beyond the scope of the SLA may be subject to additional fees.

VIII. Updates and Upgrades

The end user is entitled to receive updates and upgrades to the ProMed during the license term. The Company reserves the right to introduce new features and improvements, and it is the responsibility of the end user to apply these updates.

IX. Termination

Either party may terminate this agreement with written notice if the other party breaches any material term of the agreement. Upon termination, the end user must cease using ProMed, and access to the system may be disabled.

X. Data Ownership and Privacy

The end user retains ownership of patient data entered into the ProMed. ProEmTech Infosystems Private Limited agrees to maintain the confidentiality and security of all data in compliance with applicable data protection laws. ProEmTech shall not provide and export if patient data created using ProMed in any format. All datas created and manged by ProMed shall be accessible only by using a valid ProMed license.

XI. Liability and Indemnification

The Company's liability is limited to the extent permitted by law. The end user agrees to indemnify and hold ProEmTech Infosystems Private Limited harmless from any claims arising out of the end user's use of ProMed.

XII. Governing Law and Dispute Resolution

This agreement is governed by the laws of Republic of India. Any disputes arising under or in connection with this agreement will be resolved through arbitration in accordance with the rules of Republic of India.

XIII. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, or government actions.

By using ProMed, the end user acknowledges and agrees to be bound by the terms and conditions of this Agreement. This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral.
